End User License Agreement for Zeus Solutions
Software license terms for Zeus Solutions platforms, AI services, analytics environments, and related documentation.
This End User License Agreement (“Agreement” or “EULA”) is entered into by and between Zeus Solutions (“Zeus,” “Company,” “we,” “our,” or “us”) and the individual or entity accessing or using the Software (“Customer,” “User,” “Licensee,” or “you”).
By downloading, installing, accessing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
License Grant
Subject to compliance with this Agreement and any applicable Order Form, Statement of Work (“SOW”), subscription agreement, or commercial agreement, Zeus Solutions grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
- Access and use the Software solely for internal business purposes
- Permit authorized employees and contractors to use the Software on Customer’s behalf
- Use related documentation provided by Zeus Solutions
No ownership rights are transferred under this Agreement.
Restrictions
Customer shall not:
- Copy, modify, or create derivative works of the Software
- Reverse engineer, decompile, or disassemble the Software
- Resell, sublicense, lease, distribute, or commercially exploit the Software
- Remove proprietary notices or branding
- Circumvent security or access controls
- Use the Software for unlawful purposes
- Use the Software to build competing products or services
- Introduce malware or malicious code
- Access the Software beyond authorized licensing scope
Ownership and Intellectual Property
The Software and all associated intellectual property rights, including source code, object code, AI models, algorithms, APIs, workflows, documentation, and branding, remain the exclusive property of Zeus Solutions and its licensors.
All rights not expressly granted are reserved.
Customer Data
Ownership
Customer retains ownership of all Customer Data submitted to the Software.
Limited Usage Rights
Customer grants Zeus Solutions a limited right to process Customer Data solely for purposes of:
- Providing Services
- Maintaining functionality
- Supporting integrations
- Providing maintenance and support
- Meeting legal obligations
Confidentiality
Zeus Solutions will use commercially reasonable safeguards to protect Customer Data from unauthorized access or disclosure.
AI and Analytics Services
Certain Zeus Solutions offerings may incorporate artificial intelligence, machine learning, predictive analytics, or automation technologies.
AI Output Disclaimer
AI-generated outputs may contain inaccuracies or incomplete information. Customer is responsible for independently validating outputs before use in operational, financial, legal, regulatory, or trading activities.
Training Restrictions
Unless explicitly authorized in writing, Zeus Solutions will not use confidential Customer Data to train publicly available or shared AI models.
User Accounts and Security
Customer is responsible for:
- Maintaining confidentiality of credentials
- Restricting unauthorized access
- Promptly reporting suspected security incidents
- Ensuring authorized users comply with this Agreement
Customer is responsible for all activity conducted under its accounts.
Support and Maintenance
Support obligations, response times, upgrades, service levels, and maintenance terms shall be governed by applicable commercial agreements or Statements of Work.
Zeus Solutions may deploy updates, patches, enhancements, or modifications to improve performance, functionality, or security.
Fees and Payment
Customer agrees to pay all applicable fees specified in Order Forms, Statements of Work, invoices, or subscription agreements.
Failure to timely pay fees may result in suspension or termination of access.
Term and Termination
Term
This Agreement remains effective until terminated.
Termination
Zeus Solutions may suspend or terminate access immediately if Customer:
- Violates this Agreement
- Fails to pay applicable fees
- Uses the Software unlawfully
- Creates operational or security risks
Effect of Termination
Upon termination:
- License rights immediately cease
- Customer must stop using the Software
- Zeus Solutions may disable access credentials
- Customer Data may be deleted in accordance with retention policies
Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEUS SOLUTIONS DISCLAIMS ALL WARRANTIES, INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY
- RELIABILITY
- AVAILABILITY
- ERROR-FREE OPERATION
Zeus Solutions does not guarantee uninterrupted or error-free operation.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEUS SOLUTIONS SHALL NOT BE LIABLE FOR:
- INDIRECT DAMAGES
- INCIDENTAL DAMAGES
- CONSEQUENTIAL DAMAGES
- LOSS OF PROFITS
- LOSS OF DATA
- BUSINESS INTERRUPTION
- TRADING LOSSES
IN NO EVENT SHALL ZEUS SOLUTIONS’ TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY CUSTOMER TO ZEUS SOLUTIONS DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Indemnification
Customer agrees to defend, indemnify, and hold harmless Zeus Solutions and its officers, employees, affiliates, and agents from claims, liabilities, damages, and expenses arising from:
- Customer’s use of the Software
- Violation of this Agreement
- Violation of law
- Customer Data or Customer conduct
Export Compliance
Customer agrees to comply with all applicable export control and sanctions laws and regulations.
Governing Law
This Agreement shall be governed by the laws of the State of Texas.
Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Harris County, Texas.
Changes to this Agreement
Zeus Solutions may modify this Agreement periodically.
Updated versions will be posted with a revised “Last Updated” date. Continued use of the Software constitutes acceptance of updated terms.
Entire Agreement
This Agreement, together with applicable Statements of Work, subscription agreements, or Order Forms, constitutes the complete agreement between the parties regarding the Software.
